Thank you for joining our Affiliate Program. By participating in the Program, you agree to the following terms and conditions. If you disagree, please do not register as an Affiliate or participate in the Program.

1. Approval or Rejection of Registration

1.1 We reserve the right to approve or reject ANY Affiliate Program Registration at our sole discretion. No legal recourse is available for the rejection of your Affiliate Program Registration.

2. Affiliate Links and Coupons

2.1 Affiliate links are automatically generated, but you can also create links for specific products or collections.

2.2 As an Affiliate, you agree to promote Nutrition Factors products or services by placing links or banners on your website, blog, social media, or other platforms.

2.3 Affiliates may or may not be assigned a specific coupon code, with details and usage clarified on the Dashboard. The use of unassigned coupons is not allowed.

2.4 Affiliates may advertise the merchant website on various online and offline channels.

3. Promotional Materials

3.1 Affiliates can use Nutrition Factors logos and product images for promotional purposes only.

3.2 Promotion media such as banners, logos, or specific collection promotions may be shared through the Marketing tool tab.

3.3 The Company reserves the right to remove an affiliate for misuse of content information or if the affiliate claims they are an owner or employee of the company.

3.4 Marketing material or advertisements should not contain profanity, derogatory, political, or other distasteful content.

4. Commissions and Payment

4.1 Affiliates earn commissions based on the Commission Structure, calculated on the order value (excluding extra fees).

4.2 Specify payment details in Settings to receive commissions. Payment schedules will be notified on the Affiliate Guide page.

4.3 Payments will only be made for completed transactions. The Company pays once a month if the Affiliate's balance is at least fifty dollars; otherwise, the amount carries over to the next month.

4.4 The Company pays a 10-20% commission, depending on the product or service. The Company rewards affiliates with two extra tiers for helping companies gain other affiliates. The Company will pay affiliates on two extra tiers - Tier 1 and Tier 2.

5. Network

5.1 The Network tab allows affiliates to invite others as downline affiliates, earning network commissions based on merchant settings.

5.2 Lead Generation must be legitimate, and spamming is not allowed, leading to immediate termination.

5.3 Any affiliate suspected of committing fraud will be placed on hold until an investigation can take place. The Company will not pay any commission to the affiliate if fraud is found.

6. Modification of Agreement

6.1 The Company reserves the right to modify these Terms and Conditions. Affiliates will not be notified of changes, and continued participation constitutes acceptance.

7. Cookies

7.1 A cookie is used to track clicks on affiliate links. The tracking day starts when a customer clicks on the Affiliate's link or uses the coupon.

8. Confidentiality and Reputation Clause

8.1 The Affiliate acknowledges the confidential nature of information related to their earnings, commission rates, and any proprietary data disclosed by the Company and will not divulge such information.

8.2 The Affiliate commits to maintaining the confidentiality of such sensitive information and refrains from disclosing, publishing, or sharing any details with third parties, including but not limited to earnings, commission rates, payouts, or proprietary marketing strategies of the Company.

8.3 The Affiliate agrees not to engage in any online or offline communication that could be considered harmful, defamatory, or damaging to the Company's reputation.

8.4 In any dispute or disagreement with the Company, the Affiliate agrees to abstain from making any public statements, negative reviews, or comments that could adversely impact the Company's business, products, or services.

8.5 Any violation of this confidentiality and reputation clause may lead to immediate termination from the Affiliate Program. The Company reserves the right to pursue legal action for any damages incurred due to such violations. Any legal issues requiring a court will take place in the State of Utah.

9. Chargebacks

9.1 In case of chargebacks or refunds related to transactions generated through an Affiliate's referral, the corresponding commissions will not be paid.

9.2 The Company reserves the right to review each referral order and may withhold commissions for transactions that result in chargebacks or refunds.

9.3 Transactions deemed fraudulent or violating the fair use policy are subject to commission withholding.

9.4 Affiliates are encouraged to monitor the Commission tab for accurate information on commission status. Any paid commission will be listed on the Payment tab.

9.5 The Company, at its discretion, may reevaluate and adjust commission payouts based on chargebacks, refunds, or other factors affecting the transaction's final status.

10. Tax Documentation

10.1 For tax reporting purposes, affiliates with cumulative annual earnings reaching the threshold of $600 will be issued a Form 1099.

10.2 Affiliates agree to provide accurate and up-to-date tax information by completing and submitting a W-9 form to the Company. No payout will take place until the W-9 is received by the Company.

10.3 The Company will use the information on the W-9 form to generate and issue Form 1099 to affiliates meeting the applicable earnings threshold.

10.4 The Affiliate is responsible for ensuring the accuracy of the information supplied on the W-9 form and promptly updating any changes.

11.3 Data Protection: We employ industry-standard security measures to protect your personal and professional information from unauthorized access, disclosure, alteration, or destruction.

11.4 Data Sharing: We guarantee that your personal and professional information will not be shared, sold, or otherwise distributed to any third parties without your explicit written consent, except as required by law or in response to legal processes.

11.5 Compliance with Laws: We comply with all applicable privacy laws and regulations to ensure that your information is handled in accordance with the highest standards of privacy protection.
